Terms of service

1. Who we are

These Terms are an agreement between you and [LEGAL NAME, S.L.] (“MarketKeel”, “we”, “us”), a company registered in Spain with NIF [NIF] and registered office at [REGISTERED ADDRESS], Spain. You can contact us at support@mktkeel.com.

The Terms govern your use of the MarketKeel website, app and emails (the “Service”). By creating an account or using the Service, you agree to them. Our Privacy Policy explains how we handle personal data.

2. Who can use MarketKeel

You must be at least 18 and able to enter into a binding contract. You may have one account, for your own use. You may not use the Service where that is against the law that applies to you.

3. What MarketKeel is, and what it is not

MarketKeel is educational software. It describes what technical indicators show for publicly traded securities, using end-of-day data, and answers questions about them in plain English.

  • Not investment advice. Nothing in the Service is investment, financial, tax, legal or other professional advice. Nothing in it is a recommendation or an offer to buy, sell or hold any security, or to follow any strategy.
    • MarketKeel is not registered as an investment adviser, broker-dealer or financial adviser with any regulator, including the SEC, any US state, the FCA, the CNMV or any Canadian securities regulator.
    • We do not know your finances, goals or tolerance for risk, and nothing we show is tailored to you.
  • Answers are written by AI. Chat answers are generated by artificial intelligence. They can be incomplete, out of date or wrong, even after our screening. Check anything important against an independent source before you rely on it.
  • End-of-day data. Market data comes from third-party providers. It reflects the latest market close available to us and may contain errors or delays. It is not real-time.
  • The past does not predict the future. How an indicator or a security behaved before does not tell you what will happen next. Investing involves risk, including the loss of all the money you invest.
  • Your decisions are your own. You alone are responsible for your investment decisions. Consider asking a licensed professional who knows your situation.

4. Your account

Give us an email address you control and keep your password secure. Tell us at once at support@mktkeel.com if you think someone else is using your account. You are responsible for activity on your account unless it happened without your fault.

5. Plans and payment

  • Free plan. The Free plan costs nothing and has the limits shown on our Pricing page. We may change those limits.
  • Paid plans. Basic and Pro are monthly subscriptions. Before you pay, the price, the monthly allowance and what is included are shown on the Pricing page and at checkout.
  • Requests. Allowances are counted in requests. Some AI models count as a fraction of a request, as shown in the app.
    • Allowances start over on the first day of each calendar month (UTC), and unused requests don’t carry over.
    • When your allowance runs out, chat stops until it starts over or you buy a top-up. We never switch a model you chose to a different one.
    • If you choose “Auto”, MarketKeel picks the model for each message and shows which one it used.
  • Top-ups are one-off packs of requests, available on paid plans. They are used only after the month’s allowance runs out, and they don’t expire. You lose any unused top-ups if you delete your account.
  • Prices include tax. Prices are in US dollars and include any VAT, GST or sales tax that applies. Your bank may charge a fee to convert currency.
  • Automatic renewal. A paid plan renews automatically every month on the day you subscribed. We charge your payment method the plan’s price at that time until you cancel.
  • Price changes. We will email you at least 30 days before a new price applies to your plan. The new price starts at your next renewal after that notice. If you don’t want it, cancel before then.
  • Changing plan. Moving up to Pro starts at once. You pay today for the rest of the current period, less the unused part of your current plan. Moving down to Basic starts at your next renewal.
  • Failed payments. If a payment fails we may try again. If it still can’t be collected, we may move your account to the Free plan.
  • Payment processing. Payments are processed by Stripe. We never receive your full card number.

6. Cancelling and refunds

You can cancel any time in Settings › Plan & usage › Cancel plan. Cancelling stops the next renewal. Your plan stays active until the end of the period you have paid for, then your account returns to Free and nothing is charged again.

Payments are not refundable, including for partly used periods and used top-ups, except as described in section 7, where the law requires a refund, or where these Terms say otherwise. If something on our side stopped you using a paid plan, write to support@mktkeel.com and we will put it right, which may include a refund. Please contact us before disputing a charge with your bank; it’s usually faster.

7. Your right to withdraw (14 days)

You may withdraw from a paid plan or a top-up within 14 days of the day you bought it, without giving a reason. Consumers in the EU and the UK have this right by law; we give it to our customers everywhere.

  • How to withdraw. Use Withdraw from contract here in Settings › Plan & usage, shown for 14 days after each purchase, or send us a clear statement by email to support@mktkeel.com or by post to [LEGAL NAME, S.L.], [REGISTERED ADDRESS], Spain. You may use the model form below, but you don’t have to. You meet the deadline if you send your statement before the 14 days end.
  • What happens. A plan ends as soon as we receive your withdrawal, and your account returns to Free. We confirm receipt by email straight away, with the date and time.
  • What you get back. At checkout you ask us to start the service immediately, so you pay for what was provided before you withdrew, and we refund the rest.
    • Plans: we keep a share of the price you paid, and refund the rest. That share is the larger of (a) the part of the billing period that had passed and (b) the part of that month’s requests you had used.
    • Top-ups: we refund the share of its requests you had not used. Once all of a top-up’s requests are used, the service has been fully provided and you can no longer withdraw from it.
    • If you did not ask for the service to start immediately, we refund everything you paid.
  • When. Within 14 days of receiving your withdrawal, to your original payment method, at no cost to you.

8. Acceptable use

You must not:

  • (a) use the Service for anything unlawful, including market manipulation;
  • (b) copy, scrape, resell, republish or redistribute market data or answers, or use them to build a dataset or a competing product;
  • (c) access the Service by automated means other than the interfaces we provide, or get around limits, quotas or payment;
  • (d) try to make the Service produce what it is designed to withhold, such as personal advice or price targets, or try to defeat its screening;
  • (e) probe, attack or disrupt the Service or its security;
  • (f) reverse-engineer the Service, except where the law allows it;
  • (g) share your account;
  • (h) submit content that is unlawful, infringes others’ rights, or contains other people’s personal data;
  • (i) present the Service’s answers to others as your own professional or investment advice.

9. Your content and AI answers

You keep your rights in what you type. You allow us to store and process it, and to send it to our hosting and AI providers, only to run the Service, as described in the Privacy Policy. Neither we nor our AI providers use your conversations to train AI models.

You may use answers for your own personal, non-commercial purposes. Similar answers may be given to other users. We do not promise that answers are original, complete or free of errors.

10. Market data and third parties

Market data is supplied to us by third parties under licence. You may use it only for your personal, non-commercial use within the Service. Those providers make no promises to you and are not responsible to you for the data.

11. Our rights

The Service, its software, design and the MarketKeel name belong to us or our licensors. These Terms give you only the right to use the Service as described here.

12. Changes, suspension and closing accounts

  • Changes to the Service. We may change or improve the Service. If a change materially reduces what a paid plan includes, we will tell you in advance. You may then cancel and get a refund for the unused part of your current period.
  • Suspension or closure by us. We may suspend or close an account for a serious or repeated breach of these Terms, where the law requires it, or to protect the Service or other people. Where it’s reasonable, we will warn you first and explain why.
  • If we close your account without a breach by you, we refund the unused part of any prepaid period.
  • Closing it yourself. You can delete your account at any time in Settings › Account.

13. Availability and your legal rights

We work to keep the Service available and accurate, but we cannot promise it will be uninterrupted or error-free. If you are a consumer, the law gives you rights, including under EU and UK law on digital services and your right to withdraw from distance contracts. Nothing in these Terms affects those rights.

14. Liability

  • What we never limit. Nothing in these Terms excludes or limits liability that the law does not allow us to exclude or limit. That includes liability for death or personal injury caused by negligence, for fraud, for gross negligence or wilful misconduct, and your legal rights as a consumer.
  • What we are not responsible for. Subject to that, we are not responsible for:
    • (a) investment gains or losses, or any decision you make using the Service;
    • (b) loss of profit, revenue or business opportunity;
    • (c) losses that were not reasonably foreseeable when you accepted these Terms.
  • Limit on our total liability. Subject to that, our total liability to you for all claims about the Service is limited to the greater of (i) what you paid us in the 12 months before the claim and (ii) US$50.
  • If you live in the United States or Canada: To the extent the law allows, the Service is provided “as is” and “as available”. We disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Some jurisdictions do not allow these exclusions, so they may not apply to you.

15. Changes to these Terms

If we change these Terms in a way that matters, we will tell you by email or in the app at least 30 days before the change takes effect, and ask you to accept the new version. If you don’t agree, you can cancel your plan and delete your account before the change takes effect.

16. Law and disputes

Spanish law governs these Terms. If you are a consumer:

  • You keep the protection of the mandatory laws of the country where you live.
  • You may bring a claim in the courts where you live, and we may bring claims against you only there.

If you use the Service for business purposes, the courts of [CITY], Spain have exclusive jurisdiction. Please contact us first at support@mktkeel.com; we will try to resolve any complaint within 30 days.

17. How the contract is made

To use MarketKeel you create an account and accept these Terms in the app. To buy a paid plan or a top-up:

  1. Choose it.
  2. Review the order summary: price including tax, renewal and allowance.
  3. Tick the box asking for the service to start now (see section 7).
  4. Press the pay button.

Until you press pay, you can correct any details by editing them or going back. The contract is concluded in English. We keep a record of the version of these Terms you accepted, and Stripe emails you a receipt for each payment. The current Terms are always at mktkeel.com/terms/, and we will send earlier versions on request.

18. General

These Terms are the whole agreement between us about the Service. If a court finds part of them invalid, the rest still applies. We may transfer this agreement to a company that takes over the Service; we will tell you first, and it will not reduce your rights. If we don’t enforce a right straight away, we can still enforce it later. We will send notices to the email address on your account.
